License Agreement
This End User License Agreement ("EULA") is between you and Punch Audio Plugins LLC ("Punch Audio") and covers the Grit Factory software, its presets, and its documentation (together, the "Software"). Installing or using the Software means you accept it.
What you get
- A personal, non-exclusive license to install and use the Software for making music and audio — personal or commercial — on up to two (2) machines at a time, activated through your account.
- Everything you make is yours. Audio you create or process with the Software belongs entirely to you. No royalties, no strings, forever.
- Free updates to Grit Factory as we release them. (Entirely new products are separate purchases.)
- You can move an activation between machines through your account. Offline-activated machines are the exception: they hold their seat until we release it — email support.
The trial
Trial licenses grant the same rights for 14 days, after which the Software stops processing audio until a full license is activated. Your sessions and settings are untouched by expiry.
What you can't do
- Redistribute, resell, rent, sublicense, or share the Software or your license. License transfers to another person are not permitted.
- Reverse engineer, decompile, or modify the Software, except where the law expressly permits it.
- Circumvent or tamper with license validation, or help anyone else do so.
- Use the Software to build a competing product, or extract its DSP, presets, or assets for reuse.
Activation & connectivity
The Software validates licenses and trials against Moonbase's licensing service and needs occasional connectivity to do so; offline activation is available for machines that never touch the internet. The Software sends licensing and device-identification data only — never your audio. See our Privacy Policy.
Support
We provide reasonable help by email at support@punchaudioplugins.com. We're a small company; we answer personally, and usually quickly, but no response time is guaranteed.
No warranty
The Software is provided "as is," without warranty of any kind, express or implied — including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that it will be uninterrupted or error-free, or that it will suit every system, session, or set of ears. Always work with backups and sensible monitoring levels.
Limitation of liability
To the maximum extent permitted by law, Punch Audio is not liable for indirect, incidental, special, or consequential damages — including lost profits, lost recordings or sessions, or equipment or hearing damage — arising from use of the Software. Our total liability under this EULA is limited to what you paid for the Software. Nothing in this EULA limits liability that cannot legally be limited, and nothing reduces consumer rights the law grants you regardless of contract.
Termination
This license ends automatically if you materially breach it. On termination you must stop using the Software and deactivate or uninstall it. Sections about your content, warranty, and liability survive termination — and your audio remains yours, always.
General
This EULA is governed by the laws of California, United States. If any part is found unenforceable, the rest stands. This is the whole agreement about the Software between you and us.
